Terms of Service

1. Acceptance of Terms

By accessing or using the IdeaDunes WebApp platform ("Service"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.

2. Description of Service

IdeaDunes provides a web-based customer relationship management (CRM) platform, including features for contact management, sales pipeline tracking, email marketing, project management, helpdesk, team collaboration, invoicing, form building, gamification, knowledge base, and AI-powered automation tools.

3. User Accounts

• You must provide accurate and complete registration information.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 18 years old to create an account.
• One person or legal entity may not maintain more than one account.
• You must promptly update your account information if it changes.
• You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose.
• Attempt to gain unauthorized access to any part of the Service.
• Upload malicious code or interfere with the Service's functionality.
• Share your account credentials with unauthorized parties.
• Use the Service to send unsolicited spam or bulk communications.
• Scrape, crawl, or extract data from the Service without authorization.
• Use the Service to store or distribute content that violates any law or third-party rights.
• Reverse engineer, decompile, or disassemble any part of the Service.

5. Subscription Plans and Billing

• Free plans have usage limits as described on our Pricing page.
• Paid subscriptions are billed in advance on a monthly or annual basis.
• All fees are non-refundable except as specified in our Cancellation & Refund Policy or required by law.
• We may change subscription fees with 30 days' prior notice.
• Failure to pay may result in suspension or termination of your account.
• Annual plans receive a discount and are billed for the full year upfront.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your data as described therein. You retain ownership of all data you submit to the Service.

7. Data Portability and Export

You may export your data at any time using our built-in export tools. Upon account termination, you will have 30 days to export your data before it is permanently deleted. We provide data in standard formats (CSV, JSON, PDF).

8. Intellectual Property

All content, features, and functionality of the Service are owned by IdeaDunes and are protected by copyright, trademark, and other intellectual property laws. You retain all rights to the content you upload to the Service.

9. Service Availability and SLA

We target 99.9% uptime for all paid plans. Scheduled maintenance windows are communicated at least 48 hours in advance. Our full Service Level Agreement details compensation for extended downtime.

10. Third-Party Integrations

The Service may integrate with third-party applications. Your use of third-party services is governed by their respective terms. IdeaDunes is not responsible for third-party service availability or data handling practices.

11. Limitation of Liability

IdeaDunes shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months prior to the claim.

12. Indemnification

You agree to indemnify and hold harmless IdeaDunes, its officers, directors, employees, and agents from any claims, losses, or damages arising from your use of the Service or violation of these Terms.

13. Termination

• You may cancel your account at any time from your Settings page.
• We may terminate or suspend your account for violation of these terms with 14 days' notice (immediate for security violations).
• Upon termination, your right to use the Service ceases immediately.
• Provisions relating to IP, liability, indemnification, and dispute resolution survive termination.

14. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes via email or through the Service interface at least 30 days before they take effect. Continued use after changes constitutes acceptance.

15. Data Protection and Compliance

IdeaDunes processes personal data in accordance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and HIPAA where applicable. 16. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, acts of government, pandemic, war, terrorism, or internet infrastructure failures.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms will be resolved through good-faith negotiation, and if necessary, binding arbitration or court proceedings in the appropriate jurisdiction. The prevailing party in any dispute shall be entitled to recover reasonable legal fees.

19. Entire Agreement

These Terms, together with our Privacy Policy, SLA, and any applicable order forms, constitute the entire agreement between you and IdeaDunes regarding the Service.
